Need Help - Having problems

So I was just given an 03 Grand prix GT. Having some issues. Very poor gas mileage, won't go bast 4100 RPM, no power, no acceleration, and making a noise that seems like exhaust near the rear of the motor. Think it might be the cat but not sure. Any ideas? 3800 GT.
 


I would agree it is likely the cat by your description. Good time to upgrade, get a new downpipe with or without cat.
