No power under load

I have a 2001 gt - car starts and runs fine when cold.
Once it heats ups it idles fine but no power on acceleration, could barely get it up 30 kph
Pulled a PO141 code and changed the O2 sensor but that didn't help.
Fuel pressue is fine.
Bad Cat or what?

Thanks for the input guys.
It was the Cat after all.
I managed to locate a low mileage Cat off a 2004 GP and it fit with no problems. The 2001 even seems to have a bit more get up and go then it did before (bonus) plus the newer Cat should help out even better for my Etest in the spring
