2002 GT Hesitation

I have a 2002 GT that seems to be hesitating from 1st to 2nd Gear. However, when the engine is cold, it seems to shift normally for the first few minutes.

The odd thing is, there is no slamming or slipping. Just the RPMs drop as if my foot is not on the gas at all before it re-engages.

Could this be a sensor issue or something?

I had the exact same issues on my 01 GT and replaced my cat and rear 02 sensor and the car drives beautifully again.
 
im having a similar issure but not sure what to do.. i get the hesitation during acceleration, but i noticed today under heavy acceleration im getting a grinding sound right before it shifts into 2nd (about 4-5 rpms).. please update if you figure it out! thanks (mine is an 01 gt w/ 147k)
