Time for a replacement

So, the other day i'm driving home from work and lean into the throttle to downshift up a hill, hear a small metallic *TINK* followed by a quick climb to redline... but hey, 220k miles, the last 120k tuned, and definitely not used gently, i'm in no way surprised with the failure. I believe the use of an oversized trans cooler and regular services helped this... i digress.
Reading up on TEP website leads me to believe i lost the forward apply band. I limped it back to work in 1st&2nd gear, and now am finding my replacement.
I want to change to 3.29s, and it seems i cannot go with a 04+ trans, but a NA 3.29 97-02 trans should work, correct? I have HPT and no issue retuning for ratio correction.
As far as HD to non-HD, there are minimal differences, as far as I can tell... right?
Isn't one axle different? Do the cooler fittings swap? Does either one have LSD?
Anything I should look out for or prepare for? I plan on flushing the cooler, and changing their filter. and rear main/engine oil pan gasket while i'm that far.
